1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Enduro platform, website, software, and services (collectively, the "Services"), operated by Enduro CRM ("Enduro," "we," "our," or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Description of Services

Enduro provides a commercial activation and customer relationship management platform designed to support:

  • Prospect discovery and prioritization
  • Outbound and inbound commercial workflows
  • Telemarketing and calling orchestration
  • AI-driven workflow automation
  • Sales pipeline management
  • Call recording and transcription features
  • Integration with social and communication channels
  • Prospect intelligence and enrichment services

Enduro may integrate intelligence services powered by Open G AI or other third-party data providers.

Enduro does not guarantee commercial outcomes, revenue generation, or successful business transactions.

3. Eligibility and Account Registration

To use the Services, you must:

  • Be at least 18 years of age
  • Have authority to enter into binding agreements
  • Provide accurate and complete account information
  • Maintain the security of your account credentials

You are responsible for all activity occurring under your account.

4. Subscription and Billing

4.1 Subscription Plans

Enduro offers subscription-based plans which may include usage-based pricing components such as calling minutes, prospect access, or add-on services.

4.2 Payment Terms

All fees are:

  • Charged in U.S. Dollars (USD)
  • Billed monthly unless otherwise agreed
  • Non-refundable except as required by law

Enduro reserves the right to modify pricing with reasonable advance notice.

4.3 Usage-Based Charges

Additional charges may apply for:

  • Call minutes beyond included thresholds
  • Additional prospect intelligence packs
  • Premium automation or AI services

5. Acceptable Use Policy

You agree not to use the Services for:

  • Spam, robocalling, or unsolicited bulk outreach violating applicable laws
  • Fraudulent, deceptive, or misleading activities
  • Unauthorized data harvesting
  • Circumventing telemarketing, consumer protection, or privacy regulations
  • Distribution of malicious software
  • Illegal or harmful commercial activities

Enduro reserves the right to suspend or terminate accounts violating this policy.

6. Telecommunication and Calling Compliance

Users utilizing calling, recording, or transcription features must comply with all applicable telecommunication laws, including but not limited to:

  • TCPA (Telephone Consumer Protection Act)
  • State or international call recording consent laws
  • Anti-spam and commercial solicitation laws

Users are solely responsible for obtaining required consent before recording or transcribing calls.

Enduro provides technical infrastructure only and does not provide legal compliance monitoring or legal advice.

7. Call Recording and Transcription

If enabled, Enduro may record and transcribe calls for operational, analytical, or workflow automation purposes.

Users acknowledge and agree:

  • Recording features may be subject to regional legal requirements
  • Users must notify participants where required by law
  • Recorded content may be processed using AI technologies
  • Users are responsible for ensuring lawful usage of recorded communications

8. Data and Prospect Intelligence

Enduro may provide prospect intelligence, enrichment, or metadata services derived from publicly available or licensed data sources.

Enduro:

  • Does not guarantee accuracy or completeness of prospect data
  • Does not guarantee business suitability of prospects
  • Does not sell personally identifiable data as standalone data brokerage

Users are responsible for validating and lawfully using any data accessed through the platform.

9. User Content and Responsibility

Users retain ownership of data, communications, and materials uploaded or generated within their account ("User Content").

By using the Services, you grant Enduro a limited license to:

  • Store
  • Process
  • Analyze
  • Display

User Content solely for purposes of providing the Services.

10. AI and Automation Features

Enduro uses artificial intelligence technologies to support automation, prioritization, and communication workflows.

AI outputs:

  • Are probabilistic
  • May contain inaccuracies
  • Must be reviewed by users before reliance

Enduro disclaims liability for decisions made based on AI-generated outputs.

11. Third-Party Services

Enduro may integrate with third-party services including telecommunication providers, data enrichment vendors, and communication platforms.

Enduro is not responsible for:

  • Third-party service interruptions
  • External data inaccuracies
  • Third-party billing structures
  • Third-party compliance requirements

12. Service Availability

Enduro provides Services on a commercially reasonable efforts basis.

We do not guarantee:

  • Uninterrupted service
  • Error-free performance
  • Continuous platform availability

Maintenance or outages may occur.

13. Intellectual Property

All software, technology, branding, and platform architecture associated with Enduro remain the exclusive property of Enduro CRM.

Users may not:

  • Reverse engineer
  • Copy
  • Reproduce
  • Resell platform infrastructure
  • Create derivative commercial software

14. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary business, technical, and commercial information disclosed through platform use.

15. Termination

Enduro may suspend or terminate accounts if:

  • Terms are violated
  • Fraud or unlawful conduct is suspected
  • Payments are not fulfilled
  • Platform integrity is threatened

Users may terminate their subscription at any time. Access continues through the paid billing period.

16. Limitation of Liability

To the maximum extent permitted by law, Enduro shall not be liable for:

  • Lost profits
  • Lost business opportunities
  • Indirect or consequential damages
  • Data inaccuracies
  • Communication outcomes
  • User compliance violations

Total liability shall not exceed fees paid by the user within the preceding twelve (12) months.

17. Indemnification

Users agree to indemnify and hold Enduro harmless from claims arising from:

  • Illegal outreach practices
  • Regulatory violations
  • Misuse of calling features
  • Improper handling of personal data
  • Violation of third-party rights

18. Modifications to Services or Terms

Enduro may modify Services or these Terms at any time. Continued use after changes constitutes acceptance of revised Terms.

19. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in courts located within the State of Delaware.
